The following Terms and Conditions of Service constitute an agreement (the “Agreement”) between you as the (“User”/”Client”) and Federico Guzzardi. Terms & Conditions apply to all products and services provided by Federico Guzzardi and in the event of any dispute are governed by the international laws and by the laws of Germany.

All work is carried out by Federico Guzzardi on the understanding that the client has agreed to our terms and conditions.

Copyright is retained by Federico Guzzardi on all design work including words, pictures, ideas, visuals and illustrations unless specifically released in writing and after all costs have been settled.

If a choice of many designs is presented and one is chosen for your project, only that solution is deemed to be given by Federico Guzzardi as fulfilling the contract. All other designs remain the property of Federico Guzzardi, unless specifically agreed in writing.

At the time of the proposal, Federico Guzzardi will provide the customer with a written quote or quote by e-mail. These Terms and Conditions can be read at any time on the Federico Guzzardi website.

A copy of the estimate or written estimate must be signed and dated by the customer to indicate acceptance and must be returned to Federico Guzzardi.

For the avoidance of doubt, the terms and conditions of Federico Guzzardi are what govern the work and any collaboration with him.

The costs for the design services that will be provided by Federico Guzzardi will be indicated in the written estimate or in the offer provided to the customer. Upon the client's signed acceptance of this quote or offer, indicating acceptance of the Terms and Conditions, a non-refundable payment of 40% of the total amount indicated will be immediately due.

Unless otherwise agreed with the Client, all design services require an upfront payment of a minimum of forty (40) percent of the total design quotation before the work commences or is provided to the Client for review. The remaining sixty (60) percent of the total project budget will be due to completion of the work prior to uploading to the server or release of the materials.

We will provide proofs and appropriate PDF files for printing, or other graphic files as specified within the scope of the job or request.

The costs for the design work do not cover the release of our copyright design source files, including but not limited to indd, psd, AI, png, fla or other source files or raw code, html, css, js; if the Client requests that these files be transferred to an in-house designer or otherwise, they will be subject to a separate quote or "redemption" charge.

Charges for any additional services requested during the project that exceed the estimated time or out of scope will become fully payable (100% of the quoted amount) upon acceptance of the quote or quote.

The customer will be provided with an approval form or test email and invoice prior to final publication. At this point, the remainder of the amount due will become payable.

Any billing requests must be sent via email within 14 days of the invoice date.

Payments can be made by online transfer or bank transfer.

Other forms of payment are not accepted unless previously agreed with Federico Guzzardi.

The publication and / or release of the work carried out by Federico Guzzardi on behalf of the client cannot take place before the available funds have been received.

An account is considered to be in default if it remains unpaid for 30 days from the date of the invoice, or following a returned check. Federico Guzzardi will have the right to remove Federico Guzzardi's and / or the customer's material from all computer systems, until full payment of the amount due. This includes any unpaid amounts due for services including, but not limited to, hosting, domain registration, search engine submission, design and maintenance, subcontractors, printers, photographers and libraries.

The removal of such materials does not release the customer from the obligation to pay the amount due.

Clients whose accounts become default agree to pay all reasonable Glazier Design legal and accounting fees and third party collection agency fees for debt enforcement and these Terms and Conditions.

By providing text, images and other data to Federico Guzzardi for inclusion on the client's website or in any other medium, the client declares to own the appropriate copyright and / or trademark rights. Ownership of such materials will remain with the customer or the legitimate copyright or trademark owner.

Any artwork, image or text provided and / or designed by Federico Guzzardi on behalf of the customer will remain the property of Federico Guzzardi and / or his suppliers unless otherwise agreed in writing. A license to use the copyrighted material is granted to the customer solely for the project defined in the purpose or application and not for other purposes.

The customer can request in writing from Federico Guzzardi, the necessary authorization to use the materials (of which Federico Guzzardi holds the copyright) in forms other than those for which it was originally provided, and Federico Guzzardi can, at his discretion, grant it and may charge for additional usage. Such permission must be obtained in writing before using any of the aforementioned artwork, images, text or other data.

Any third party software, code, plug-in or other material used in a web or digital project remains the property of the creator and any ongoing licensing costs or costs for upgrades are the responsibility of the customer, not Federico Guzzardi.

By providing images, text or any other data to Federico Guzzardi, the customer grants Federico Guzzardi permission to use this material freely in the pursuit of design.

If Federico Guzzardi, or the customer provides an image, a text, an audio clip or any other file to be used in a website, a multimedia presentation, a print element, an exhibition, an advertisement or any other means, believing that it is free from copyright and royalty, which subsequently emerges to have such limitations on the use of copyright or royalty, the customer will agree to allow Federico Guzzardi to remove and / or replace the file on the site.
The customer undertakes to fully compensate and keep Federico Guzzardi free from damages for any claim arising from the customer for not having obtained all the required copyrights and / or any other necessary authorization.

The Service and its original content, features and functionality are and will remain the exclusive property of Federico Guzzardi and its licensors. The Service is protected by copyright, trademark and other international laws and German laws. The products supplied by Federico Guzzardi, commercial images cannot be used in relation to any product or service without the prior written consent of Federico Guzzardi.

Where Federico Guzzardi creates any product, system, website, code or graphic, the intellectual property rights for that product, system, website, code or graphic remain the property of Federico Guzzardi unless expressly authorized and agreed in writing. All works completed by Federico Guzzardi are subject to copyright and commercial terms and conditions. Reproduction, whether total or partial, or release to third parties in any form is not permitted without the authorization of Federico Guzzardi.

This website, all content included therein as well as the projects shown and their parts such as layouts, illustrations, text, graphics, logos, button icons, images, sound clips, digital downloads, data compilations, software, code, html, css, js, vector graphics, 3D graphics and / or animations are the intellectual property of Federico Guzzardi and are subject to copyright therefore protected by international laws and other related German laws.

You are not allowed to change or use none of them. Private and commercial use or presentation requires separate written permission.

If you suspect that one of your Intellectual Propiety rights is infringed by this site, please inform Federico Guzzardi as soon as possible via e-mail, so that he can help you if necessary.

The customer agrees that any changes requested in addition to the estimated work, or in addition to the agreed scope, or where the customer makes changes to the copy provided or changes that need to be made after acceptance of the project draft, will be responsible for a separate charge.

The customer also accepts that Federico Guzzardi assumes no responsibility for any changes made by third parties, before or after the publication of a design.

Any project, copywriting, design, idea or code created for the client by Federico Guzzardi, is licensed for use by the client only once and cannot be modified, reused or distributed in any way or form without the express written consent of Federico Guzzardi.

All design work - where there is a risk that another party will file a complaint, it should be registered by the customer with the relevant authorities before publication or first use or research and legal advice required on its use.

Federico Guzzardi will not be held responsible for any damage resulting from such complaints.

Federico Guzzardi is not responsible for any loss, or consequential loss, non-delivery of products or services, of any cause. The customer agrees not to hold Federico Guzzardi responsible for such loss or damage.

Any complaint against Federico Guzzardi will be limited to the relative rates paid by the customer.

The customer accepts Federico Guzzardi's definition of acceptable means for providing data to the company.

The text must be provided to Federico Guzzardi in electronic format as standard text (.txt), MS Word (.docx) or by e-mail / FTP or shared folder.

The images provided in electronic format must be provided in the format prescribed by Federico Guzzardi by e-mail / FTP. The images must be of a quality suitable for use without any subsequent image processing and Federico Guzzardi will not be held responsible for any image quality that the customer later deems unacceptable.

Federico Guzzardi cannot be held responsible for the quality of the images that the customer wishes to scan from printed materials.

Additional expenses may be incurred for any necessary action, including, but not limited to, photography and art direction, photo research, media conversion, digital image processing or data entry services, color correction and image alteration.

Federico Guzzardi requires that a model be approved by the client before starting the coding and development of a website. Once the templates for the website have been approved by the client, coding and development will begin; any changes to navigation elements, colours, structure or content that require changes to the template may incur an additional cost.

Once the web design is complete, Federico Guzzardi will provide the Client with three (3) minor refinements cycles at no additional cost within fourteen (14) days of submission to the Client for review. ("Review Period"). Minor improvements include color changes, font changes, image changes, text changes, small alterations to the movement of elements on the website, image changes. Minor enhancements do not include adding extra pages, custom CSS, third party plugin integration, extra content uploads that were not originally covered by the original project brief. The request for minor changes must be made by email. Federico Guzzardi will assume that the Customer has accepted the original draft without changes, if no change request emails have been made within fourteen (14) days from the beginning of the review period.

The Customer agrees to allow: (a) Federico Guzzardi to add a small credit on the Customer's website. This will take the form of a small line of text and will be positioned towards the bottom of the web page; (b) Federico Guzzardi to enter their projects and works, together with a hyperlink to the Client's site on Federico Guzzardi's website for self-promotion services, unless otherwise agreed in writing by both parties. The Customer understands that Federico Guzzardi assumes no responsibility for trademarks of any kind and that it is the Customer's responsibility to verify the availability of existing trademark laws and trademarks.

For Branding and Vectorial projects, Federico Guzzardi will provide the Client with three (3) cycles of minor improvements at no additional cost within fourteen (14) days of presentation to the Client for review. ("Review Period"). Minor refinements include color changes (to others mentioned as per brief), font swapping between concepts or a minor font change (to another style as mentioned in brief), size or hierarchy changes, and addition or removing a graphic element. Requests for minor changes must be made by email. Federico Guzzardi will assume that the Customer has accepted the original draft without changes, if no change request emails have been made within fourteen (14) days from the beginning of the review period.

The Parties agree and undertake to (a) make every effort necessary to guarantee the personal data protection relating to the personal data that might be collected or otherwise obtained in relation to this contract; and (b) implement every procedure, adopt every measure and to execute and exchange every document necessary in order to comply with all the applicable data privacy laws and regulations, including the EU Regulation 2016/679 (the “GDPR”).

Nevertheless, with specific reference to the website, Federico Guzzardi does not guarantee in any way its compliance to GDPR and shall not provide any legal document to ensure such compliance.

To ensure the website's compliance with the GDPR (DSGVO), it will be the client's responsibility to contact a legal advisor-or lawyer-in privacy matters who will be able to draft and provide all required legal documents.

This website is provided by Federico Guzzardi "AS IS" and "AS AVAILABLE". Federico Guzzardi does not provide guarantees of any kind, explicit or implicit, for all the products and / or services it provides and Federico Guzzardi cannot be held responsible for any damage deriving from products and / or services it provides. Federico Guzzardi is not responsible for any loss, or consequent loss of data, or non-delivery of products or services, of any cause. Although Federico Guzzardi takes reasonable steps to investigate the materials he recommends, he assumes no responsibility for the performance or quality of the materials or for any consequential loss resulting from their failure. The customer agrees not to hold Federico Guzzardi responsible for such loss or damage. Any complaint against Federico Guzzardi will be limited to the relative rates paid by the customer.

Federico Guzzardi reserves the right to use the services of subcontractors, agents and suppliers and any work, content, service and use is bound by their Terms and Conditions. Federico Guzzardi will not knowingly take any action to contravene these and the customer also agrees to be so bound.

Federico Guzzardi reserves the right to change any of the Terms and Conditions at any time and without prior notice.

Sending an order for the design and / or any other service offered by Federico Guzzardi, by e-mail, verbally or in writing, is considered as acceptance of these terms and conditions, which are available free of charge on www.federicoguzzardi.com.

A validated quote by the customer's signature on the quote or quote form, or by email, constitutes acceptance of the quote or offer and agreement to fully comply with all Terms and Conditions and forms a Business Agreement between the petitioner and Federico Guzzardi.
